SurePayroll Referral Rewards Program Terms and Conditions
General Information about the Referral Rewards Program.
The SurePayroll Referral Rewards Program ("Program") allows SurePayroll affiliates including existing SurePayroll customers, Trusted Advisors such as Accountants, Financial Consultants and Advisors, HR solutions providers and Bookkeepers (but excluding employees of SurePayroll and its affiliates and the immediate family members of all such employees and all others with whom they are living in the same household), who have read the following Terms and Conditions and agree to be bound by them as acknowledged by electronically accepting them by means of the clicking the I accept box located within the enrollment form on www.surepayroll.com/accountants/refer-payroll, to receive a $100 American Express gift card. Registration in the Program may be made by an individual or entity. If registration is made in the name of an entity, the individual completing the registration represents and warrants that he or she is authorized to register the entity and bind it to these Terms and Conditions. In the event that an entity registers as a participant in the Program, the references to "you" in these Terms and Conditions refer to such entity.
Your Referrals.
Your Referrals.
After registering for the Referral Program you may refer prospective customers for online payroll services (each a "Referred Prospect") to SurePayroll by entering a referral at www.surepayroll.com/accountants/refer-payroll. By doing so, you give us the right to use your name and title when contacting your Referred Prospects and to indicate that you provided their name and/or contact information to SurePayroll. You cannot submit Referred Prospects names in bulk using group email addresses, group directories, bulk mailing lists or similar sources. You represent and warrant that you have the right to provide to SurePayroll any names and/or contact information regarding Referred Prospects. You may not designate yourself or a business with which you are an owner or employee as a Referred Prospect. SurePayroll may monitor and track referrals for accuracy and compliance with these Terms and Conditions. In the event that SurePayroll detects violation of these Terms and Conditions it reserves the right to terminate your participation in the Program.
SurePayroll receives referrals from many sources and there is a possibility that SurePayroll may already have or be pursuing a business relationship with an entity or individual you have submitted as a Referred Prospect or that such party may have been referred to SurePayroll by another party (an "Existing Prospect"). In the event that a Referred Prospect is an Existing Prospect, such party cannot become your Referred Customer (as defined below) and you will not be eligible to receive a Reward for such party. If a Referred Prospect is referred by multiple Program participants, and is not already an Existing Prospect, the first participant to place the referral, based on the date and time entry as determined by SurePayroll, shall be the only Program participant to possibly receive the Reward. SurePayroll, at its sole discretion, may determine whether or not to pursue a Referred Prospect. Only one Reward will be awarded for any Referred Customer.

Reward Requirements.
In order for you to receive a Reward, the Referred Prospect must 1. not be an Existing Prospect and 2. must sign up for SurePayroll's payroll processing service within one year from the date of your referral and 3. continue as a SurePayroll customer for one (1) payroll processing cycle; not already be a customer of SurePayroll at any time (each of your Referred Prospects who satisfies these requirements shall be deemed your "Referred Customer").

For each of your Referred Customers, you are eligible to receive a one hundred dollar ($100) American Express Gift Card ("Gift Card"). When you accrue a Reward, SurePayroll will attempt to notify you within thirty days of Referred Customer's completion of their first payroll processing cycle. You will have thirty (30) days from this attempt to respond to accountantinfo@surepayroll.com or to send a written response to SurePayroll ATTN: Accountant Channel, 2350 Ravine Way Drive Suite 100, Glenview, IL 60025 to inform SurePayroll as to whether you elect the Reward for such Referred Customer to be a Gift Card or a donation to a Designated Charity (and, if applicable, to indicate which of the designated charities from the options provided by SurePayroll). It is important to keep your email and postal address current so that you are able to receive notices from SurePayroll concerning Rewards. In the event that a response designating your election is not received by SurePayroll within thirty (30) days from the dispatch of the applicable notice, you will have deemed to forfeit an election and therefore no reward will be issued. You will be responsible for the tax obligations, if any, associated with your Rewards and may be required to complete a W-9 and return it to SurePayroll so a 1099 Form can be issued as a prerequisite to the awarding of any Reward.
Limitation of Liability.

SUREPAYROLL'S CUMULATIVE LIABILITY IN CONNECTION WITH THE PROGRAM, INCLUDING FOR ANY BREACH OF THESE TERMS AND CONDITIONS, WILL BE LIMITED TO THE PAYMENT OF ANY UNPAID REWARDS PAYMENTS DUE TO YOU IN CONNECTION WITH THE PROGRAM, NOT TO EXCEED A TOTAL OF FIVE HUNDRED DOLLARS ($500). UNDER NO CIRCUMSTANCES WILL SUREPAYROLL BE LIABLE TO YOU OR OTHERS FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER BASED ON BREACH OF CONTRACT, TORT, PRODUCT LIABILITY, OR OTHERWISE, IRRESPECTIVE OF WHETHER SUREPAYROLL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
Governing Law and Jurisdiction.

These Terms and Conditions shall be governed by and construed in all respects in accordance with the laws of the State of Illinois, without giving effect to any choice of law or conflict of law rules that would result in the application of the laws of any jurisdiction other than the laws of the State of Illinois and applicable federal laws. You further agree that the sole proper venue and jurisdiction for any disputes arising hereunder or in connection with the Program shall be the federal and state courts situated in the County of Cook, State of Illinois and you hereby consent to jurisdiction and venue in such courts and agree that any disputes shall be resolved therein individually, without resort to any class action.

The Program is open only to U.S. legal residents age 18 or older. Void in any jurisdiction in which the Program is prohibited or not capable of being conducted as contemplated by SurePayroll. Employees of SurePayroll and its affiliates and the immediate family members of all such employees and all others with whom they are living in the same household are not eligible to participate in the Program or to receive Rewards. SurePayroll reserves the right to alter, modify, suspend or terminate the Program at any time upon notice, which notice may include a posting at www.surepayroll.com/accountants/refer-payroll.
Nothing contained in these Terms and Conditions shall be construed as creating a relationship of principal and agent, partnership or joint venture between SurePayroll and you. It is understood, agreed and intended that each party shall be deemed an independent contractor at all times, and shall have no express or implied right or authority to assume or create any obligation on behalf of the other party. If any provision of these Terms and Conditions is found invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the other provisions will remain in force. No failure of either party to exercise or enforce any of its rights under these Terms and Conditions will act as a waiver of such rights. These Terms and Conditions and any additional terms and conditions imposed by SurePayroll during the Program registration process and/or at www.surepayroll.com/accountants/refer-payroll are the complete and exclusive agreement between the parties with respect to the subject matter hereof, superseding and replacing any and all prior agreements, communications, and understandings (both written and oral) regarding such subject matter. These Terms and Conditions may not be modified other than in writing by SurePayroll.
SurePayroll is the sole sponsor of the Program. The Program is not sponsored by, endorsed by or affiliated with American Express or any of the Designated Charities.

SurePayroll reserves all rights, implied or otherwise, which are not expressly granted to you hereunder and retains all rights, title and interest in its products and services. Neither these Terms and Conditions nor the Program grant you the right to use any SurePayroll products, services, or intellectual property.
